AD HOC ANNOUNCEMENT
Reinach (Aargau), 01 September 2026
[Ad hoc announcement pursuant to art. 53 LR]
Montana Aerospace AG strengthens leadership structure through appointment of Executive Chairman and Chief Operating Officer
Montana Aerospace AG (the "Company") and its operating subsidiaries (the "Group" or "Montana Aerospace"), a leading supplier of system components and complex assemblies for the aerospace industry, today announces a strengthening of its management body and leadership structure.
Following the resignation of Chief Executive Officer Kai Arndt in April 2026, the Board of Directors has resolved to expand the Company's management body and further reinforce the operational leadership of the Group.
With immediate effect, DDr. Michael Tojner, Chairman of the Board of Directors, has been appointed Executive Chairman and joins the management body of Montana Aerospace AG.
In addition, Dr. Christian Preslmayr has been appointed Chief Operating Officer (COO) of Montana Aerospace AG with effect from 1 September 2026 and will also become a member of the management body.
The appointments reflect the next stage of Montana Aerospace's development as the Group increasingly focuses on industrialization, automation, operational excellence and the efficient scaling of its global manufacturing platform.
As Executive Chairman, Michael Tojner will support the execution of the Group's strategic priorities, major investment decisions and further industrial development. As COO, Christian Preslmayr will lead operational improvement initiatives across the Group, including industrialization, automation, footprint optimization, procurement and operational excellence programs.
Montana Aerospace continues to operate through a highly experienced and decentralized leadership structure. The Group's operating businesses are led by long-standing management teams with substantial decision-making authority and deep industry expertise. Together with the Group Management (consisting of the Executive Chairman, CFO, CHRO and COO), they ensure continuity in the execution of the Group's strategy and day-to-day operations.
The Board of Directors believes this strengthened leadership structure is well suited to support the Company's continued growth and development. Accordingly, all operating activities continue as planned and the Company remains fully focused on executing its strategy, serving its customers and delivering on its financial objectives.
The strong operational and financial performance reported for the first half of 2026 demonstrates the resilience of Montana Aerospace's business model and leadership organization.
In addition, the Board of Directors approved a Management Stock Option Plan 2026 (MSOP) for selected members of the management body. Under the MSOP, Michael Tojner may be granted options of up to 5,000,000 shares, subject to predefined performance criteria and the approval of the Annual General Meeting. Any options granted will have an exercise price corresponding to the market price of Montana Aerospace shares at the time of exercise. Further details will be disclosed in the Company's compensation reporting.
Furthermore, Thomas Williams has informed the Company that he will step down from the Board of Directors for personal reasons. The Board of Directors would like to thank Tom Williams for his valued contributions and commitment to Montana Aerospace over the years.
Subject to shareholder approval at the next General Meeting, the Board will nominate Kai Arndt for election to the Board of Directors. Kai Arndt served as Chief Executive Officer of Montana Aerospace and continues to support the Company in an advisory capacity, ensuring continuity and contributing his extensive industry and company-specific expertise.
