Distribution of shares of our boron lithium mining project company

As already reported in our corporate news in June this year, it is planned to distribute to the shareholders of NOWEA ENERGY shares of the company, which is currently in the listing process. As also reported in this announcement, there are thoughts concening a further distribution, namely shares in our "Boron-Lithium Mining Project Company". This company has also started actions to become listed on a stock exchange, with the first quarter of 2024 as the target date.

Subject to the successful implementation of the necessary steps, NOWEA shareholders will then hold shares in two companies listed on a stock exchange.

Stock exchange listing

As also reported several times, the stock exchange listing mentioned above will be carried out with a separate company. As explained, the shareholders of NOWEA ENERGY INC. will then receive listed shares of this company. The listing process is in an advanced stage, i.e. in coordination with FINRA. The Financial Industry Regulatory Authority (FINRA) is the supervisory and approval authority in the USA for the securities industry - similar to the German Federal Financial Supervisory Authority (BaFin). The approval process with FINRA is quite complex and lengthy, but we expect finalization before the end of the year.

Market environment for crude oil, lithium and boron as well outlook 2024

With the start of the planned stock exchange trading we will restart the successful development of our company. As mentioned before, we cannot determine the final date and are dependent on the approval processes of the regulatory authorities.

According to analysts' expectations, the market environment for the raw materials of our investments is stable or showing an upward trend.

Crude oil: The attractiveness of fossil fuels remains unbroken despite the discussion about climate change and renewable energies. Especially since the Russian attack on Ukraine, valuations have even increased and we expect oil and gas to remain profitable investments for a longer period and able to generate reliable cash-flow and profits. Accordingly, we will further expand our exposure to the USA in 2024.

Lithium: The global lithium market size is expected to grow from 0.59 million LCE tons in 2023 to 1.44 million LCE tons in 2028, at a CAGR of 19.57% during the forecast period (2023-2028) (LCE = lithium carbonate equivalent). Lithium demand is further expected to significantly exceed supply in the coming years. We therefore expect commodity price quotations to continue to rise, which should have a positive impact on the value of our investment.

Boron: Boron is one of the most versatile elements on earth and is used, for example, in glass, ceramics, insulation materials, smartphones, computer screens, solar panels, as well as in electromobility (almost as much boron as lithium is used in batteries for electric vehicles) and fuel cells. Here, too, demand for boron is expected to significantly exceed supply in the coming years. We therefore also anticipate further increases in raw material prices, which should also have a positive impact on the value of our investment.
