CA Immo International AG: Merger between CA Immo International AG and CA Immobilien Anlagen AG

Vienna (pta053/02.11.2010/18:00 UTC+1) Registration with the companies register and share exchange are expected to become effective on 16 November 2010

Vienna, 2 Nov. 2010. All requirements for the registration of the merger between CA Immo International AG and CA Immobilien Anlagen AG with the companies register are fulfilled and 15 November 2010 (with effectiveness of 16 November 2010) has been preliminary confirmed by the Commercial Court Vienna as date of registration.
The merger as well as the increase of the share capital of CA Immobilien Anlagen AG of
approximately EUR 4.3 million for the issuance of 597.460 CA Immobilien Anlagen AG -Exchange Shares (ISIN AT0000641352) to the shareholders of CA Immo International AG shall therefore become effective on 16 November 2010. The last trading day of CA Immo International AG shares (ISIN ATCAIMMOINT5) on the Vienna Stock Exchange shall be 15 November 2010.
The share exchange with the agreed upon exchange ratio of 10 CA Immobilien Anlagen AG -Exchange Shares for 19 CA Immo International AG shares will take place on the basis of the securities accounts balances as of the beginning of 16 November 2010. The delivery of the CA Immobilien Anlagen AG -Exchange Shares will take place via the clearing system of the Oesterreichische Kontrollbank Aktiengesellschaft and the custodians.
The application for listing of the CA Immobilien Anlagen AG -Exchange Shares on the regulated market of the Vienna Stock Exchange has been filed and it is expected that trading in the Prime Market will be assumed on or about 16 November 2010.
