3U HOLDING AG: Move to the Scale segment planned

Marburg (pta028/14.10.2026/20:15 UTC+2)

  • Management Board resolves, with the approval of the Supervisory Board, to move from the Prime Standard to the SME segment Scale of the Frankfurt Stock Exchange
  • Costs and effort of the capital market presence to be aligned with the size of the company
  • Shares remain tradable via Xetra – no action required by shareholders
  • Completion of the move targeted within the 2026 financial year

Marburg, 14 October 2026 – 3U HOLDING AG (ISIN DE0005167902; ticker: UUU) intends to move its shares from the regulated market (Prime Standard) to the Scale segment of the Frankfurt Stock Exchange. The Management Board resolved this today with the approval of the Supervisory Board and published an ad-hoc announcement to this effect.

This step is part of the consistent cost discipline with which the Management Board is aligning the structures of the 3U Group towards efficiency. A listing on the regulated market entails extensive reporting and auditing requirements, with associated costs and internal effort that are not proportionate to the benefits for a company such as 3U HOLDING AG. Scale is the Frankfurt Stock Exchange segment for growth companies within the Open Market (Freiverkehr) as defined by law. It combines a leaner regulatory framework with its own transparency requirements and, in the Management Board's assessment, is a considerably better fit for the company's profile. The move has been made easier by the German Act to Promote Private Investment and the Financial Centre (Standortfördergesetz) of 4 February 2026, an option that numerous other listed companies are also taking advantage of.

Christoph Hellrung, CFO of 3U HOLDING AG, states: "We consistently review every cost item in the Group for its benefit – and that includes our presence on the capital market. By moving to Scale, we will noticeably reduce the effort involved in reporting and auditing and deploy our funds and capacities where they create value: in our operating business. We will continue to report regularly and reliably on the development of the 3U Group."

What the move means for shareholders

The shares of 3U HOLDING AG will remain tradable on the Frankfurt Stock Exchange under the existing ISIN, including via Xetra. A Designated Sponsor will continue to provide binding bid and ask prices there, thereby supporting the liquidity of the share. Shareholders do not need to take any action in connection with the move.

In Scale, too, the company is subject to defined transparency obligations. These include in particular:

  • the publication of audited annual and consolidated financial statements together with the management report,
  • the publication of a half-year report,
  • a financial calendar and at least one analyst or investor event per year,
  • the publication of research on the company in the first two full calendar years following inclusion in Scale,
  • the obligations under the European Market Abuse Regulation, in particular ad-hoc announcements, the notification of managers' transactions (Directors' Dealings) and the maintenance of insider lists.

At the same time, the reporting effort will decrease. In particular, the move will eliminate quarterly statements, the obligation to publish financial reports in English and voting rights notifications under the German Securities Trading Act (Wertpapierhandelsgesetz). In addition, audit requirements and the associated costs will decrease, as the special requirements applicable to public interest entities will no longer apply.

Next steps

Together with a Capital Market Partner, the company will apply for the inclusion of the shares in Scale and file an application with the Frankfurt Stock Exchange for the revocation of their admission to the regulated market. An inclusion document will be published prior to inclusion. The aim is to complete the move within the 2026 financial year; this depends on the revocation of the admission by the Frankfurt Stock Exchange and the approval of Deutsche Börse AG. 3U HOLDING AG will announce the first trading day in Scale separately. Until then, the company will continue to meet all Prime Standard obligations; the quarterly statement for the third quarter of 2026 will be published as planned on 12 November 2026.
