3U HOLDING AG: Move from the regulated market (Prime Standard) to the Scale segment of the Frankfurt Stock Exchange resolved

Marburg, 14 October 2026 – The Management Board of 3U HOLDING AG (ISIN DE0005167902; ticker: UUU) today resolved, with the approval of the Supervisory Board, to transfer the company's shares from the regulated market (Prime Standard) of the Frankfurt Stock Exchange to the Scale segment of the Open Market (Freiverkehr) of the Frankfurt Stock Exchange.
To this end, the company will apply to the Frankfurt Stock Exchange for the revocation of the admission of its shares to trading on the regulated market pursuant to section 39 (2) sentence 2 no. 3 (a) of the German Stock Exchange Act (Börsengesetz). In parallel, it will apply, together with an applying Capital Market Partner, for the inclusion of the shares in the Scale segment with simultaneous inclusion in the Basic Board. The company aims to complete the change of segment within the 2026 financial year. This is subject to the applicable requirements being met, the Frankfurt Stock Exchange revoking the admission and Deutsche Börse AG approving the inclusion.
With this change, the company intends to make use of the recent amendment to the German Stock Exchange Act in order to significantly reduce the regulatory and administrative burden as well as the costs associated with the listing on the regulated market. The shares will remain tradable on the Frankfurt Stock Exchange, including Xetra; the obligations under the Market Abuse Regulation continue to apply.
The company will keep the capital market informed of further developments in accordance with the statutory requirements.
