Planethic Group AG: Local Court Opens Insolvency Proceedings in Self-Administration

Ludwigsfelde (Germany), August 27, 2026 - By order dated August 25, 2026 (file no. 650 IN 179/26), the Local Court of Potsdam opened insolvency proceedings over the assets of Planethic Group AG (formerly Veganz Group AG) (the "Company" or "Planethic") (ISIN: DE000A3E5ED2 / WKN: A3E5ED / ticker symbol: VEZ) and ordered self-administration pursuant to sections 270 et seq. of the German Insolvency Code (InsO). The order has not yet been published by the court. The Company obtained knowledge of the order on August 27, 2026.
Prof. Dr. Torsten Martini of GÖRG Insolvenzverwaltung Partnerschaft von Rechtsanwälten mbB, Kantstrasse 164, 10623 Berlin, Germany, has been appointed custodian (Sachwalter). The Management Board of Planethic remains entitled to manage and dispose of the insolvency estate, subject to the supervision of the custodian. Business operations are being continued.
The opening of insolvency proceedings has material effects on the Company's net assets, financial position and results of operations, as well as on the legal position of the holders of financial instruments issued by the Company. Claims under the 7.5% notes 2020/2030 (ISIN: DE000A254NF5 / WKN: A254NF), including accrued and future interest and principal claims, constitute insolvency claims and may be filed with the insolvency schedule and satisfied from the insolvency estate only in accordance with the German Insolvency Code. Shareholder claims rank behind all insolvency claims; a total loss of the capital invested is possible.
The Company will provide separate information on the further course of the proceedings, in particular the deadline for filing claims, the reporting and verification meeting, and any restructuring by way of an insolvency plan. This announcement follows the ad-hoc announcement of June 25, 2026 regarding the application to open self-administered insolvency proceedings.
