The extraordinary general meeting of AVERDION SE (hereinafter the "Company") today resolved, among other things, to increase the share capital against contribution in kind by issuing 1,250,000 new bearer shares. The corresponding contribution agreement was signed immediately following the extraordinary general meeting. The new shares were subscribed by the major shareholder 5Stars Holding Zártkörűen Működő Részvénytársaság, with its seat in Budapest, Hungary, which is contributing all shares in CREDITFORTE Pénzügyi Szolgáltató és Tanácsadó Kft., Budapest, Hungary, to the Company as a contribution in kind. Following the implementation of this capital increase, the Company's share capital will amount to EUR 1.5 million. After completion of the contribution, the Company intends to operate as an investment holding company and to further intensify its partnership with 5Stars Holding.
