AIX Debt Capital Structure II DAC: ad hoc announcement – inside information pursuant to article 17 of Regulation (EU) No 596/2014 (mar)

Dublin 2 (pta019/30.10.2026/11:36 UTC+1)

AIX DEBT CAPITAL STRUCTURE II DESIGNATED ACTIVITY COMPANY (the "Issuer")

Series 2026-003 Asset Backed Notes due 2042 (ISIN: CH1108682340) admitted to trading on the Vienna MTF of Wiener Börse AG (the "Notes")

issued under the Issuer's USD 5,000,000,000 Asset Backed Medium Term Note Programme

Date and time of release: 30 October 2026, 10.00 AM Irish time

This announcement contains inside information and is made by the Issuer pursuant to Article 17 of MAR. It is also given as a notice to holders of the Notes (the "Noteholders") in accordance with Condition 16. Capitalised terms not defined here have the meanings given in the Series Memorandum for the Notes.

  1. Winding-up petition against the Borrower

The Charged Assets for the Notes consist of the Issuer's rights under a loan note issued by AIX Secure SPV Ltd (the "Borrower"), which is constituted by a loan note instrument dated 30th January 2026 (the "Loan Note Instrument"). On 25 September 2026, a third-party creditor presented a petition to wind up the Borrower in the Grand Court of the Cayman Islands. The hearing is currently listed for 30 October 2026.

The presentation of the petition is an event of default under the Loan Note Instrument. As at the date of this notice, the Borrower has made all payments due to the Issuer under the Loan Note Instrument, and all amounts due on the Notes have been paid. The petition does not of itself constitute an Event of Default under the Notes.

  1. Steps taken by the Issuer

The Issuer has notified Highvern Corporate Services UK Limited (the "Trustee") of these matters. With the Trustee's knowledge, the Issuer has also taken the following steps:

  • it has served a reservation of rights on the Borrower, preserving all of the Issuer's rights under the Loan Note Instrument, including its right to accelerate; and
  • it has requested that a guarantee of the Borrower's obligations under the Loan Note Instrument be provided by a third-party entity. Discussions are ongoing, and there is no certainty that a guarantee will be given. If one is given, the Issuer expects to add it to the security for the Notes, subject to the Trustee's agreement.

As of today's date the Issuer has not accelerated the Loan Note Instrument and continues to keep the position under review with its advisers.

  1. Further information

The Issuer will make further announcements as material developments occur, including following the hearing on 30 October 2026. This announcement will be available on the Issuer's website at www.aixbond.com for at least five years.

This announcement does not constitute a waiver of any rights of the Issuer or the Trustee and is given without prejudice to all such rights.
