Serviceware SE: Serviceware SE Approves Share Buyback Program

Idstein, 21 May 2026. The Board of Directors of Serviceware SE (the "Company") resolved today to carry out a buyback of up to 300,000 shares of the Company (the "2026 Share Buyback Program") at a total purchase price (excluding incidental acquisition costs) of up to EUR 5,000,000.00 via the stock exchange. The 2026 Share Buyback Program is based on the authorization granted by the Company's Annual General Meeting on 22 May 2025. All buybacks will be executed through a bank. The 2026 Share Buyback Program will begin on 1 June 2026 and end no later than 31 May 2027. It is possible that the Company will not use the full EUR 5,000,000.00 for buybacks. The Company reserves the right to modify or terminate the 2026 Share Buyback Program at any time.

Harald Popp, CFO and co-founder of Serviceware: "Given the current low level of the share price, the share buyback program allows us to use our free cash flow to capitalize on an excellent investment opportunity. By purchasing our own shares, we are directly creating shareholder value for Serviceware's shareholders."

Serviceware has a strong internal financing capacity. Accordingly, Serviceware plans to continue funding investments in its innovative Serviceware platform from operating cash flow in the future. Operating cash flow totaled EUR 3,900,000.00 at the end of the 2024/2025 fiscal year.

The repurchased shares may generally be used for all purposes permitted under the authorization granted by the Annual General Meeting on May 22, 2025. Thus, acquired shares may be used as part of the purchase price in potential acquisitions or may be retired. In particular, however, Serviceware has the option of transferring a portion of the acquired shares to employees in strategically important areas, thereby strengthening their commitment to the company.
