Rostra AG: Transaction with related parties pursuant to section 111a AktG

On 08 October 2026, the supervisory board of Rostra AG approved, pursuant to section 111b(1) of the German Stock Corporation Act (Aktiengesetz, AktG), the conclusion of a loan agreement between RH Investments Pte Ltd., having its registered office in Singapore, as lender and Rostra AG as borrower. By loan agreement dated 14 October 2026, RH Investments Pte Ltd. granted Rostra AG a loan in the amount of up to USD 20 million. The loan bears interest at 9.0 % p.a. The term ends on 31 October 2031; Rostra AG is entitled to extend it once by five years until 31 October 2036 without the lender's consent. Repayment and the payment of interest are to be made exclusively out of the proceeds accruing to Rostra AG from its direct or indirect participation in Congo Management S.A.R.L.U.; if no such proceeds accrue, no payments fall due. In addition, early repayment by Rostra AG out of other funds is permitted. To the extent that loan liabilities remain outstanding at the end of the term, Rostra AG is entitled to transfer its participation in Congo Management S.A.R.L.U. to the lender instead of making repayment, whereupon all outstanding claims under the loan agreement are extinguished; exercise must be notified to the lender ten banking days before the end of the term. The loan agreement is governed by the laws of Singapore.

The controlling shareholder of RH Investments Pte Ltd. is Mr Timothy Nuy, who is at the same time a member of the supervisory board of Rostra AG. RH Investments Pte Ltd. is therefore a related party within the meaning of section 111a(1) sentence 2 AktG.
