German Tech Holding – Public Offer for the Subscription of Treasury Shares
- Financing of the subscription of an investment in Zirnostics GmbH

Frankfurt/Main, 9 October 2026 – The general partner of German Tech Holding (GTH), a holding company based in Frankfurt am Main that was founded in 2012 and renamed in August 2026, today resolved, on the basis of the authorizing resolution of the Company's Annual General Meeting of 14 August 2024 under agenda item 8 e) pursuant to Section 71 (1) no. 8 of the German Stock Corporation Act (AktG) and agenda item 10 b) pursuant to Section 71c (2) AktG respectively, to offer its shareholders the subscription of treasury shares.
From 13 October 2026 to 27 October 2026, GTH is offering its shareholders the subscription of up to 34.2 million treasury shares at a subscription price within a price range of 0.07 to 0.21 euros and is conducting a bookbuilding process. The form for the subscription or the share purchase application will be available for download from 12 October 2026 on the Company's website (https://germantechholding.com) under the heading "For Shareholders". The final subscription price will be published on 20 October 2026 by way of an ad hoc announcement and on 22 October 2026 in the Federal Gazette (Bundesanzeiger). The total proceeds volume therefore amounts to up to 7.2 million euros. The subscription ratio is 1:3, that is, one share entitles the holder to acquire three (treasury) shares of the Company. Insofar as not all subscription rights are exercised, there is the option of oversubscription. The CEO and founder of GTH and managing director of the general partner, Christoph Gerlinger, the members of his family and the vehicles of the aforementioned persons have declared that they will acquire treasury shares at a ratio of at least 1:3, irrespective of the final subscription price to be determined.
The Company has already received a so-called backstop commitment from a shareholder, GG Beteiligungen UG, by which the latter has undertaken to acquire, in the event that the price is set at the lower end of the price range, all GTH shares offered for acquisition that are not subscribed for by GTH shareholders, so that the success of the placement is already secured. Christoph Gerlinger holds an indirect interest of just under 50 % in GG Beteiligungen UG.
In relation to the public offer, GTH will publish an information document pursuant to Annex IX of Regulation (EU) 2017/1129 on its website at https://germantechholding.com/index.php/for-shareholders/the-share/ on 12 October 2026.
The proceeds from the sale of treasury shares are intended to secure the taking up of the investment opportunity published on 7 October 2026 by subscribing to a cash capital increase of Zirnostics GmbH (https://germantechholding.com/index.php/ad-hoc-announcement-7-october-2026/) and the preservation of the Company's liquidity until assets are sold, until a further financing measure is carried out, or until its various receivables from the SGT Capital Group in a total amount of 6.1 million euros are collected in part or in full.
GTH intends to accept purchase applications, depending on the prices stated in the incoming share purchase applications, in the interest of the Company only to the extent that covers its capital requirements. It will set the subscription price accordingly, cannot take into account purchase applications below that price and therefore at the same time reserves the right to sell fewer shares than offered by it in the announced public subscription offer. GTH shareholders hold subscription rights and are therefore entitled to acceptance of their purchase/oversubscription application only insofar as the price offered for the subscription or purchase/oversubscription is not lower than the subscription price to be determined and insofar as the purchase application is covered by subscription rights.
