PALFINGER AG: PALFINGER issues 1,863,258 new shares to SANY

concludes capital interlinking

PALFINGER AG with its corporate seat in Salzburg (Austria) has increased its registered capital effective as of 14 May 2014 by EUR 1,863,258 to EUR 37,593,258. The new shares were issued for an issue price of EUR 29 per share and have been fully subscribed by SANY Germany GmbH, a subsidiary of SANY Heavy Industries Co Ltd and member of the Chinese SANY group of companies. The new shares qualify for dividends starting from 1 January 2014 and are admitted to trading on the Vienna Stock Exchange as from 14 May 2014. The capital increase was effected from PALFINGER AG's authorized capital excluding the subscription rights of existing shareholders.

SANY Germany GmbH also concluded share purchase agreements to acquire a total of 1,863,258 existing shares of PALFINGER AG and today's registration of the capital increase satisfies the only outstanding condition for their completion.

In return, PALFINGER AG has subscribed to and acquired 10 per cent of the share capital of Sany Automobile Hoisting Machinery Ltd. ("SANY Lifting") in the course of a capital increase of SANY Lifting. SANY Lifting is unit within the SANY Group that specializes in mobile, tower and crawler cranes and is of a comparable size to PALFINGER AG.

At the Annual General Meeting of PALFINGER AG held on 12 March 2014, Qi Jian, the General Manager of SANY Lifting, was elected to the Supervisory Board of the Salzburg-based company.

This implements the capital interlinking agreed between PALFINGER AG and SANY Heavy about which PALFINGER AG already informed on 30 September 2013.
