Ad hoc announcement, 1 June 2026: Breiteneder Immobilien Parking Konzernfinanzierungs GmbH announces the result of the Exchange Offer

On 18 May 2026, Breiteneder Immobilien Parking Konzernfinanzierungs GmbH (the "Issuer") published an invitation to the noteholders of its notes issued in 2018, ISIN AT0000A21LA8 (the "2018-Notes"), to submit offers to exchange their 2018-Notes for newly issued 4.750% p.a. fixed-interest notes in an aggregate principal amount of up to EUR 50,000,000, ISIN AT0000A3USC0 (the "2026-Notes"), unconditionally and irrevocably guaranteed by Breiteneder Immobilien Parking AG, with maturity in 2032 (the "Exchange Offer"). The exchange period ended on 1 June 2026, at 3.00 p.m. (CEST).

The Issuer has received valid offers from noteholder to exchange their 2018-Notes in 2026-Notes with the aggregate principal amount of EUR 21,366,000, which will be accepted by the Issuer in this amount.

In accordance with the exchange ratio of 1:1, 2026-Notes with a total principal amount of EUR 21,366,000 will be issued on the basis of the Exchange Offer. Following the completion of the Exchange Offer, the outstanding aggregate principal amount of the 2018-Notes will be EUR 28,634,000.
