Lagfin S.C.A. - Italian Branch: Lagfin announces the results of the repurchase of its outstanding exchangeable bonds due 2028

Lagfin S.C.A., acting through its Italian branch (Lagfin or the Purchaser), the controlling shareholder of Davide Campari-Milano N.V. (Campari or the Company), announces today the results of the offer to repurchase the Purchaser's €536.4 million bonds due 2028 exchangeable for existing ordinary shares of Campari (of which € 429 million in principal amount were outstanding) (ISIN: XS2630795404, the 2028 Bonds) (the Repurchase).

The Purchaser has collected via the Joint Dealer Managers (as defined below), by way of a reverse bookbuilding process, indications of interest to sell 3,423 2028 Bonds at a repurchase price of €100,000 per bond, equivalent to a principal amount of € 342.3 million and representing approximately 80% of the outstanding principal amount of 2028 Bonds, and approximately 64% of the originally issued principal amount of 2028 Bonds.

Based on a final repurchase price per 2028 Bond equal to €100,000 plus interest accrued up to, but excluding, the settlement date of the Repurchase (€573.77 per 2028 Bond), the total consideration of the Repurchase is approximately €344.3 million.

The Reverse Bookbuilding has been targeted at holders of the 2028 Bonds that are eligible in their respective jurisdictions, in particular that are not persons located or resident in the United States or persons acting for the account or benefit of such persons willing to sell their 2028 Bonds to the Purchaser (the Eligible Holders).

Concurrently with the launch of the Repurchase, on 30 July 2026 the Purchaser in its capacity as issuer announced the launch of a EUR600 million senior unsecured bonds, exchangeable for existing ordinary shares of Campari due 2033 (the New Bonds). Settlement of the Repurchase, which remains subject to the successful settlement of the New Bonds, is expected to occur on the issue date of the New Bonds, i.e. 7 August 2026. The 2028 Bonds repurchased by the Purchaser will be cancelled thereafter in accordance with their terms and conditions and in accordance with applicable laws and regulations.

Considering that the amount repurchased in today's Repurchase and previous repurchases in total exceeds 80% in aggregate principal amount of the 2028 Bonds originally issued, it is the intention of the Purchaser to redeem the 2028 Bonds in whole, but not in part, at their principal amount (plus interest accrued to the relevant date fixed for redemption), according to the terms and conditions of the 2028 Bonds.

During the period commencing on the date hereof until the settlement of the Repurchase, the Purchaser reserves the right to repurchase the 2028 Bonds at the same price to be paid to holders successfully tendering their 2028 Bonds pursuant to the Repurchase.

Goldman Sachs International and UBS Europe SE acted as joint dealer managers on the Repurchase (the Joint Dealer Managers).
