Biofrontera AG: Biofrontera AG Resolves to Prepare Transfer from the Regulated Market (Prime Standard) to the Scale Segment

The Management Board of Biofrontera AG (ISIN: DE000A4BGGM7) today resolved, with the approval of the Supervisory Board, to prepare the transfer of the Company's stock exchange listing from the regulated market (Prime Standard) to the Scale segment of the Open Market (Freiverkehr) of the Frankfurt Stock Exchange and to submit the corresponding applications.

The Management Board intends to apply to the Frankfurt Stock Exchange for the revocation of the admission of the Company's shares to trading on the regulated market and, in parallel, to initiate the inclusion of the shares in the Scale segment, subject to the fulfilment of all applicable admission requirements.

Based on the legislative changes introduced by the German Capital Market Promotion Act (Standortförderungsgesetz), key provisions of which entered into force on 10 February 2026, such a transfer from the regulated market to the Scale segment of the Frankfurt Stock Exchange is permissible without an accompanying delisting tender offer.

The Frankfurt Stock Exchange is the Company's primary listing venue. In addition, the Company's shares are currently admitted to trading on the Düsseldorf Stock Exchange. In connection with the proposed segment transfer, the admission of the Company's shares to trading on the regulated market (Regulierter Markt) of the Düsseldorf Stock Exchange is also intended to be terminated..

The Company will keep the capital market informed of the further progress of the process in accordance with the applicable legal requirements
