Altech Advanced Materials AG: Withdrawal of confidence in the Board of Directors of Altech Batteries Ltd., Australia, and personnel changes

Heidelberg (28 November 2025) – Altech Advanced Materials AG (FRA: AMA) ("AAM"), the largest shareholder (together with the Deutsche Balaton Group, approximately 28%) of Altech Batteries Ltd., Australia ("ATC"), has lost confidence in the management board and board of directors of ATC. This is due to insufficient progress in financing the two projects CERENERGY and Silumina AnodesTMas well as the strategic shift towards the distribution of AMPower batteries under the Altech logo. AMPower currently produces conventional sodium-nickel chloride batteries in a zebra design for uninterruptible power supplies (UPS) and is developing BESS and traction batteries. In the opinion of the AAM Board of Directors, this partnership should be reviewed for its economic viability. In the opinion of the AAM Board of Directors, Altech should focus on quickly finding the right strategic partners for the two projects, CERENERGY and Silumina Anodes – not least in order to still have a chance of receiving the promised €46.7 million in funding under the STARK programme, which requires, among other things, the total financing of the project. The AAM Executive Board has come to the conclusion that Altech will in all likelihood not be able to achieve this on its own.

Against this backdrop, AAM has called on the ATC Board of Directors to step down in order to pave the way for new management. The AAM Supervisory Board supports this process and sees it as an opportunity to regain the trust of the capital market and shareholders through open and transparent communication.

As a direct result of this strategic decision, the following members of the ATC Board of Directors first appointed Daniel Raihani as Managing Director and CEO and Giuseppe (Joe) Graziano as Chairman to the Board of Directors and then announced their resignation:

Mr Tunku Yarcob – Non-Executive Director

Mr Peter Bailey – Non-Executive Director

Mr Uwe Ahrens – Alternate Director

The new management has announced that the company's strategic focus will remain on Silumina Anodes™, the company's groundbreaking silicon-enhanced anode technology that significantly increases the performance of lithium-ion batteries, and CERENERGY sodium solid-state battery systems, a fireproof, cobalt-free and lithium-free alternative for grid and industrial markets.

While the new management's focus will be on finding the right strategic partners to bring Silumina Anodes™ and CERENERGY to market as quickly as possible, it will also conduct a strategic review of the Altech Group's remaining businesses, realise the value of the kaolin deposit in Meckering and the site in Johor, Malaysia, and review the Altech Group's cost structures.
