a.i.s. AG: Capitalreorganisation and transfer of shares

Berlin: a.i.s. AG has been successful in restructuring the company in recent months. It is intended to expand the business segment by changing the shareholder structure, which will enable the company to reposition itself in terms of sales. Additional capital measures are planned that will promote the development and corporate capital of a.i.s. AG. This development runs parallel to our previous plans and announcements.

Over the past 11 months, we have been able to motivate many shareholders to transfer 73.5% of their shares to the rightful owner. These shareholders will be able to participate in the company's development over the next few years and benefit from its growth.

On the other hand, 2.9 million shares have still not been transferred to the owner. We have reported extensively on this in various press releases. The company will therefore consider these shares to be unlawfully held by the shareholders after 30 April 2025 and will derecognise them from its share capital. At the same time, the shareholders of these shares will also lose their legal rights as shareholders with their entire shareholdings from 1 May 2025. In general, these shareholders will then lose their voting rights and participation in shareholders' meetings. A last opportunity is hereby granted to avoid the complete loss of the shares by transferring the 73.5% of their holdings to the owner shareholder's securities account by 16 May 2025, 16:00.

We continue to reserve the right to take legal action against the credit institutions involved, as they have not supported the necessary measures in a targeted manner. The process will be presented on our company website www.https://ais-ag.eu/index.php?page=98 and adjusted in terms of time.
