Lagfin S.C.A. - Italian Branch: LAGFIN REPURCHASES A FURTHER PORTION OF ITS OUTSTANDING EXCHANGEABLE BONDS DUE 2028

Luxembourg-Milan, 6 March 2025 – Following the previous ad-hoc announcement dated 18 September 2024, Lagfin S.C.A. (Lagfin or the Issuer) announces that, as a result of the repurchase carried out today by its Italian Branch, Lagfin has totally repurchased Euro 107.5 million of its outstanding Euro 536.4m exchangeable bonds due 2028 (ISIN:XS2630795404) (Bonds), representing 20.04% of the aggregate principal amount of the Bonds currently outstanding.
The repurchase of the Bonds has been executed via open market purchases, as well as via over-the counter trading, at an average price of about Euro 92.96 per bond.
Following the settlement of the repurchases, an aggregate principal amount of Bonds of Euro 428.9 million will be outstanding and not held by Lagfin. Lagfin will consider whether to cancel, in whole or in part, or to continue to hold the repurchased Bonds in accordance with the Bonds' Terms and Conditions.
