Announcement pursuant to art. 5 para. 1 lit. b) of Regulation (EU) no 596/2014 and art. 2 para. 3 of Delegated Regulation (EU) no 2016/1052

In the period from 20 November 2023 through 26 November 2023, Bayerische Motoren Werke Aktiengesellschaft (BMW AG) acquired a total of 505,199 ordinary shares and 60,872 preferred shares.

Thereof 60,872 preferred shares were acquired as part of the Share Buy-Back Programme 2023/2025. In the period from 8 November 2023 to 27 November 2023, the repurchase of ordinary shares under the Share Buy-Back Programme 2023/2025 is paused. During this period, ordinary shares will be repurchased solely on the basis of Sec. 71 para. 1 no. 2 of the Stock Corporation Act to fulfil obligations arising from an employee share programme ("Share Buy-Back Programme Employee Shares 2023"). The buyback of preferred shares under the Share Buy-Back Programme 2023/2025 will continue as before.

As part of the Share Buy-Back Programme Employee Shares 2023, 505,199 ordinary shares were acquired in the period from 20 November 2023 through 26 November 2023.

The Share Buy-Back Programme Employee Shares 2023 was successfully completed on 24 November 2023. In accordance with the announcement of 07 November 2023, a total of 1,289,500 ordinary shares were acquired between 08 November 2023 and 24 November 2023. The total purchase price paid for these shares (excluding ancillary costs) is € 120,439,951.83. The corresponding average purchase price for the shares purchased in the Share Buy-Back Programme Employee Shares 2023 was € 93.40 per ordinary share.

The purchase of ordinary shares under the Share Buy-Back Programme 2023/2025 will continue on 28 November 2023.
