MS Industrie AG: Transfer of Elektromotorenwerk Grünhain GmbH into Deutsche Elektromotoren Holding GmbH

Munich, October 25th, 2022. The Management Board of MS Industrie AG (WKN 585518; ISIN DE0005855183) is informing about a strategic measure regarding its participation in Elektromotorenwerk Grünhain GmbH (hereinafter "EMGR").

With the foundation of Deutsche Elektromotoren Holding GmbH (hereinafter "DEH") with headquarters in Dettingen unter Teck, MS Industrie AG brought the 19.9% ​​of its EMGR shares into DEH. At the same time, DEH took over all the shares in Dietz-motoren GmbH & Co. KG based in Dettingen unter Teck and now holds Elektromotorenwerk Grünhain GmbH and Dietz-motoren GmbH & Co. KG as 100% subsidiaries. After the transaction, MS Industrie AG holds around 15% of the shares in DEH.

With the combination of EMGR and Dietz-motoren, DEH creates the basis for a medium-sized electric motor group with a wide range of products and customers. In doing so, synergy effects of the two subsidiaries are to be used in order to sustainably advance the operational business development. With around 270 employees, a total turnover of over EUR 45 million in the financial year 2021 and a 100-year company history, Dietz-motoren fits this strategy perfectly.

In financial year 2021, EMGR generated total sales of over EUR 23 million with around 250 employees. Taking into account the business figures of Dietz-motoren for the year 2021, a new group will be created with a consolidated turnover of around EUR 70 million with over 500 employees and clear growth prospects.

MS Industrie AG, headquartered in Munich, is the listed parent company of a focused technology group with the two business areas powertrain technology ("MS Powertrain": systems and components for heavy-duty combustion engines and new alternative drive solutions) and ultrasonic technology ("MS Ultrasonic": special machines, standard machines and ultrasonic systems and components). Key customer industries include the global commercial vehicle and passenger car industry, followed by the packaging machine industry, the medical and other plastic processing industries as well as the general mechanical and plant engineering industry. The Group presently generates annual sales of around EUR 200 million with over 800 employees at five production sites, two of which are in Germany and one each in the USA, Brazil and China.
