Appointment of Joint Administrators

The Company gives notice that it intends to appoint Geoff Rowley and Paul Allen of FRP Advisory Services as joint administrators to the Company (the "Administrators") and that it has filed a notice of intention to appoint administrators with the Court. The appointment is expected to become effective shortly and a further announcement will follow.

Background to the Administration

On 16 December 2021, the Company announced that it would be unable to pay the interest due in respect of the Stock on 31 December 2021. It also gave notice that it was in active discussions with its key stakeholders to formulate an appropriate restructuring solution to address its financial difficulties and that the Company's shares would be suspended from trading until completion of the restructuring.Whilst talks have been ongoing with stakeholders, no formal agreement as to the terms of the restructuring solution has been reached and the Company is insolvent. As such, it is intended that the Administrators will be appointed to the Company shortly.Notwithstanding an administration of the Company, Just Cash Flow PLC as the main group trading entity continues to operate and is continuing to engage in constructive discussions with stakeholders for the required financial restructuring of the wider group.The Directors of the Company accept responsibility for the contents of this announcement.
