Die Meldung erfolgt innerhalb von 2 Handelstagen nach Einbuchung der im Rahmen der Kapitalerhöhung 2021 ausgegebenen Aktien auf das jeweilige Depot (Valutatag, 08.11.2021). Vor der gegenständlichen Meldung hielten das IGO Industries-Strauss-Syndikat gemeinsam 15.624.401 syndizierte Aktien (dies entsprach 53,70% der Stimmrechte, davon hielt IGO Construction GmbH 11.207.097 Aktien (38,52%), SuP Beteiligungs GmbH hielt 4.417.304 Aktien (15,18%). In Summe hielten die Mitglieder des IGO Industries-Strauss-Syndikats 15.624.401 Aktien (53,70% der Stimmrechte). Daneben hielten DI Klaus Ortner und IGO Construction GmbH insgesamt 72.592 nicht syndizierte Aktien (0,25%), SuP Beteiligungs GmbH hielt 299.730 nicht syndizierte Aktien (1,03%). Alle bisherigen Angaben beziehen sich auf den Zeitpunkt vor der Kapitalerhöhung, die am 05.11.2021 im Firmenbuch eingetragen wurde (Aktien insgesamt vor 05.11.2021: 29.095.000 = 100%). Im Zuge der Kapitalerhöhung der PORR AG vom Oktober / November 2021, in deren Rahmen das Grundkapital von bisher EUR 29.095.000 um EUR 10.183.250 auf nunmehr EUR 39.278.250 erhöht wurde, wurden insgesamt 10.183.250 neue Aktien ausgegeben. Nach der Kapitalerhöhung hält das IGO Industries-Strauss-Syndikat insgesamt 19.791.077 Aktien (Stimmrechte) (50,39%), davon entfallen 14.123.769 Aktien auf die IGO Construction GmbH (35,96%), und 5.667.308 Aktien auf die SuP Beteiligungs GmbH (14,43%). Daneben halten die IGO Construction GmbH 54.112 nicht-syndizierte Aktien und Herr DI Klaus Ortner 44.100 nicht syndizierte Aktien (in Summe 0,25%); die SuP Beteiligungs GmbH hält 299.730 nicht syndizierte Aktien (0,76%). Alle Angaben zu Aktienbesitzständen vor der Kapitalerhöhung 2021 beziehen sich auf das frühere Grundkapital, alle Angaben zu Aktienbesitzständen nach der Kapitalerhöhung 2021 beziehen sich auf die Situation nach der Kapitalerhöhung 2021. Eine Aktie entspricht stets einem Stimmrecht. Alle Angaben in % entsprechen dem Aktienbesitzstand als auch den Stimmrechten, berechnet vom jeweiligen Grundkapital (ohne Berücksichtigung eigener Aktien). Der Stimmrechtsanteil des IGO Industries-Strauss-Syndikats hat keine Schwelle berührt. Der Stimmrechtsanteil der IGO Industries Group (= IGO Construction GmbH und DI Klaus Ortner, einschließlich nicht syndizierter Aktien) hat keine Schwelle berührt. Der Stimmrechtsanteil der SuP Beteiligungs GmbH (einschließlich nicht syndizierter Aktien) hat keine Schwelle berührt. Eine Schwellenwertunterschreitung bei der SuP Beteiligungs GmbH liegt lediglich dann vor, wenn die syndizierten Aktien (5.667.308; 14,43%) und die nicht syndizierten Aktien (299.730; 0,76%) nicht zusammengerechnet werden.
