CA Immobilien Anlagen AG: Core shareholder sells 26% stake in CA Immo

Vienna (pta009/18.04.2016/08:45 UTC+2) 18 April 2016. CA Immobilien Anlagen AG ("CA Immo") has been informed by O1 Group Limited (Cyprus) ("O1") that O1 sold 25,690,163 bearer shares indirectly held by Terim Limited (Cyprus) and corresponding to approximately 26% of the outstanding capital of CA Immo and 4 registered shares directly held by O1 on the basis of a share purchase agreement dated 17 April 2016 to IMMOFINANZ AG.

According to the notice, the purchase price amounts to EUR 23.50 per share and total value of the transaction is approximately EUR 604 million. The transaction is subject to conditions precedent, in particular merger control clearance in Austria, Germany and other jurisdictions as well as approval by the supervisory board of IMMOFINANZ AG and approval of the management board of CA Immo for the transfer of the registered shares.
