Telekom Austria AG: Announcement According to § 93 of the Austrian Stock Exchange Act

Vienna (pta024/26.09.2012/17:20 UTC+2) Vienna, 26 September 2012 - On 25 September 2012, the Telekom Austria Group (VSE: TKA, OTC US: TKAGY) has been informed by WOLF THEISS Rechtsanwälte GmbH on the following changes in its shareholder structure:

"(A) We are acting on behalf of the following persons and refer in accordance with sec 8 para 1 of the Austrian Attorney-at-Law Act to the power of attorney granted to us:
1. América Móvil, S.A.B. de C.V., registered under register number 263,770 in Mexico City's Registro Publico de Comercio, with its business address at Lago Zurich 245, Plaza Carso, Edificio Telcel, Piso 16, Colonia Granada Ampliación, 11529, México, D.F., México ("América Móvil");
2. Sercotel, S.A. de C.V., registered under register number 174,406 in Mexico City's Registro Publico de Comercio, with its business address at Lago Zurich 245, Plaza Carso, Edificio Telcel, Piso 16, Colonia Granada Ampliación, 11529, Mexico, D.F., México ("Sercotel")
3. AMOV Europa B.V., registered under register number 55341535 in the trade register of the Netherlands, with its business address at Fred Roeskestraat 123, 1076EE, Amsterdam, Netherlands ("AMOV").
Hereinafter the persons named in 1. to 3. will be referred to as "clients".

(B) In the name and per instruction of our clients we notify in accordance with sec 91 of the Austrian Stock Exchange Act, with reference to the notification according to sec 91 Austrian Stock Exchange Act of 15 June 2012 as amended by the corrections of 20 June 2012, to the Financial Market Authority, the Wiener Börse AG and Telekom Austria Aktiengesellschaft ("Issuer") a change in major shareholdings in the Issuer.

On 25 September 2012 AMOV, which is indirectly controlled by América Móvil as defined in sec 92 para 4 of the Austrian Stock Exchange Act, acquired ownership of additional 70,923,890 ordinary shares of the Issuer, corresponding to 16.01 % of the voting rights in the Issuer. América Móvil holds its controlling interest in AMOV via Sercotel: América Móvil holds directly and indirectly 100 % of the shares in Sercotel and Sercotel holds 100 % of the shares in AMOV.

For the sake of clarity we point out that the changes notified in this notification result from the final closing of the - at that time subject to conditions precedent - acquisition as notified in June 2012.

As a result of this acquisition, together with the voting rights held or attributed as before,

América Móvil, holding directly 7,935,700 ordinary shares of the Issuer and indirectly through Sercotel and AMOV 92,901,174 ordinary shares of the Issuer, holds in sum (directly and indirectly) 100,836,874 voting rights in the Issuer, corresponding to 22.76 % of the voting rights in the Issuer, and thus has crossed the 20 % threshold of voting rights in the Issuer on 25 September 2012;

Sercotel holds indirectly through AMOV 92,901,174 voting rights in the Issuer, corresponding to 20.97 % of the voting rights in the Issuer, and thus has crossed the 20 % threshold of voting rights in the Issuer on 25 September 2012;

AMOV holds directly 92,901,174 voting rights in the Issuer, corresponding to 20.97 % of the voting rights in the Issuer, and thus has crossed the 20 % threshold of voting rights in the Issuer on 25 September 2012."
