Telekom Austria AG: Announcement According to § 93 of the Austrian Stock Exchange

Vienna (pta026/15.06.2012/17:00 UTC+2) Vienna, 15 June 2012 - The Telekom Austria Group (VSE: TKA, OTC US: TKAGY) has been informed that on 15 June 2012 América Móvil S.A.B. de C.V. ("América Móvil"), Mexico, holds in total directly and indirectly 6.75% of total shares outstanding of Telekom Austria AG. With this transaction América Móvil exceeds the 5% threshold for the announcements of holdings of stocks according to § 91 of the Austrian Stock Exchange Act.

This direct and indirect shareholding of 6.75% consists as follows:

>América Móvil holds directly 7,935,700 shares of Telekom Austria AG, which equates to 1.79% of total outstanding shares of Telekom Austria AG.

>Furthermore, América Móvil holds indirectly via its 100% sub-subsidiary AMOV Europa B.V. ("AMOV"), Netherlands, 21,977,284 shares of Telekom Austria AG, which represents 4.96% of total outstanding shares of Telekom Austria AG. This stake was acquired on 15 June 2012. AMOV is a 100% subsidiary of Sercotel S.A. ("Sercotel"), Mexico and Sercotel is a 100% subsidiary of América Móvil.

In addition, on 15 June 2012 AMOV has signed an agreement that is subject to conditions precedents for the purchase of up to 70,923,890 shares of Telekom Austria AG, which equates to up to 16.01% of total shares outstanding of Telekom Austria AG.

In case the conditions precedents will be fulfilled:

>América Móvil would own directly 7,935,700 shares or 1.79% of total shares outstanding of Telekom Austria AG and indirectly via AMOV 92,901,174 shares or 20.97% of total outstanding shares of Telekom Austria AG. This would equate a total direct and indirect holding of 100,836,874 shares or 22.76% of total outstanding shares of Telekom Austria AG and would exceed the 20% threshold for the announcements of holdings of stocks according to § 91 of the Austrian Stock Exchange Act.

>Sercotel would own via AMOV indirectly up to 92,901,174 shares or 16.01% of total outstanding shares of Telekom Austria AG and would exceed the 15% threshold for the announcements of holdings of stocks according to § 91 of the Austrian Stock Exchange Act.

>AMOV would own directly up to 92,901,174 shares or 16.01% of total outstanding shares of Telekom Austria AG and would exceed the 15% threshold for the announcements of holdings of stocks according to § 91 of the Austrian Stock Exchange Act.

Furthermore the Telekom Austria Group has been informed on the following:

"According to reports of beneficial ownership of the shares in América Móvil filed with the U.S. Securities and Exchange Commission, Carlos Slim Helú, together with his sons and daughters (together, the "Slim Family"), may be deemed to control América Móvil through their beneficial ownership of shares held by a trust, Inmobiliaria Carso, S.A. de C.V. ("Inmobiliaria Carso") and their direct ownership of shares.

Notwithstanding the above, América Móvil constitutes its own ultimate parent entity given the fact that it is not controlled by any other entity or an individual person. Under the US rules Carlos Slim Helú together with members of his immediate family may be deemed to have control if acting together, but there is no shareholder agreement that would oblige all those persons to act together.

Inmobiliaria Carso is a sociedad anonima de capital variable organized under the laws of Mexico. The Slim Family beneficially owns - directly or indirectly - a majority of the outstanding voting equity stock issued by Inmobiliaria Carso. América Móvil has knowledge that Inmobiliaria Carso currently (i) directly holds 10,500,000 shares with voting rights issued by Telekom Austria AG equating approximately 2.37 % of the voting rights in Telekom Austria and (ii) indirectly, via Control Empresarial de Capitales, S.A. de C.V, a fully owned subsidiary of Inmobiliaria Carso, holds 3,401,000 shares with voting rights issued by Telekom Austria AG equating approximately 0.77 % of the voting rights in Telekom Austria AG.

The shares held directly and indirectly by Inmobiliaria Carso and held directly by América Móvil are not to be attributed under sec 92 of the Austrian Stock Exchange Act. In particular, the shares are not to be attributed according to sec 92 para 4 of the Austrian Stock Exchange Act, as both companies are not controlled by one legal or natural person."
