Telekom Austria AG: Announcement According to §93 of the Austrian Stock Exchange Act

Vienna (pta032/25.11.2011/23:45 UTC+1) Vienna, 25 November 2011 - The Telekom Austria Group (VSE: TKA, OTC US: TKAGY) has been informed that 15.018% of Telekom Austria AG shares are held directly and indirectly by RPR Privatstiftung, Vienna, as of 25 November 2011. In addition, RPR Privatstiftung holds indirectly call options to acquire additional 0.79% of Telekom Austria AG shares.

In total, this represents direct and indirect holdings of 15.81% in Telekom Austria AG via shares and options.

Today, RPR Privatstiftung has exercised existing call options for 5.4% of Telekom Austria AG shares, which were previously acquired via its indirect 100% subsidiary Marathon Zwei Beteiligungs GmbH, as announced on 17 October 2011. Furthermore, Marathon Zwei Beteiligungs GmbH acquired call options for 9.5% of Telekom Austria AG shares today that were immediately exercised. With existing holdings of 374,721 Telekom Austria AG shares, as announced on 17 October 2011, Marathon Zwei Beteiligungs GmbH holds a total of 14.98% of Telekom Austria AG shares. Marathon Zwei Beteiligungs GmbH which is a 100% subsidiary of Marathon Beteiligungs GmbH, is wholly owned by RPR Privatstiftung.

In addition, Everest Investment GmbH, a 100% subsidiary of RPR Privatstiftung owns 150,000 shares of Telekom Austria AG, which equates to 0.03% of total Telekom Austria AG shares outstanding. Moreover, this entity holds call options to acquire additional 0.79% of Telekom Austria AG shares, which are exercisable at any time (American style). Of these, options for 2,000,000 Telekom Austria AG shares are exercisable until 15 March 2012 and options for 1,500,000 Telekom Austria AG shares are exercisable until 16 March 2012.
