Planned transformation into United Eco Solutions strengthens global presence in climate technology

TC Unterhaltungselektronik AG ('TCU AG') announces that the Management Board, with the approval of the Supervisory Board and all shareholders of United Eco Solutions America Inc. ('UES America Inc.'), have jointly signed a letter of intent enabling the complete acquisition of UES America Inc. through a planned contribution in kind to TCU AG.

As the basis for the planned transaction, the parties have agreed in the letter of intent on a valuation of €300,000,000, which will be implemented through the issue of 60,000,000 to 100,000,000 new shares in TCU AG.

This results in an implied minimum value of approximately €3.00 per share, depending on the final valuation and the final number of shares to be issued as part of the capital increase in kind.

In order to implement the transaction and align with the future business model, TCU AG will, subject to shareholder approval, be renamed United Eco Solutions AG and the articles of association of TCU AG will be amended to bring them into line with the requirements of a listed company. In addition to relocating the headquarters to Frankfurt am Main, the Management Board and Supervisory Board will ask shareholders at the Annual General Meeting to approve a capital increase against cash contributions of up to €8 million to finance the transition of TCU AG.
