TC Unterhaltungselektronik AG: Strategic repositioning of TU Unterhaltungselektronik AG

United Eco Solution America Inc. is to be brought into the company as part of a contribution in kind

In a notification dated September 9, 2025, TC Unterhaltungselektronik AG announced a change in its Management Board and the strategic realignment of the company.

With the approval of the Supervisory Board, the Management Board has agreed with the shareholders of United Eco Solutions America Inc. to conduct a fundamental review of the possibilities for a takeover of United Eco Solutions America Inc. in the form of a contribution in kind.

As part of a contribution in kind, 100% of the shares in United Eco Solutions America Inc. ("United Eco"), a Texas-based platform for sustainability and emission certificates, are to be contributed in exchange for the issue of up to 60,000,000 ordinary shares in TU Unterhaltungselektronik AG.

The Management Board will take the necessary steps for a contribution in kind and invite shareholders to a general meeting in due course.

United Eco Solutions America Inc. at a glance:

• 300,000 verified emission certificates on the balance sheet, each generating at least USD 45 per year for the next 40 years – this corresponds to potential recurring revenue of more than USD 13.5 million per year and an implied long-term gross value of more than USD 360 million, subject to verification, program rules, and market conditions.

• Proprietary AI-powered trading and customer referral platform that enables corporate customers to purchase high-quality Gold Standard and Verified Carbon Standard credits.

• Long-term agreements with reforestation, renewable energy, and nature projects across Africa.
