NOTICE TO THE HOLDERS OF THE

EUR 240,000,000 SENIOR NOTES DUE 2024 (ISIN: XS1382379409) AND

EUR 32,727,273 MEZZANINE NOTES DUE 2024 (ISIN: XS2110110090)

(TOGETHER THE "NOTES")

ISSUED BY CASTILLA FINANCE DAC (THE "ISSUER")

This announcement is supplementary to the announcement issued by the Issuer on 11 October 2023 (the "October 2023 Announcement") and terms and expressions defined (whether directly or by reference) in the October 2023 Announcement shall have the same meaning in this announcement.

Announcement of Completion of Transaction

In the October 2023 Announcement, we referred to certain proposed amendments to the Transaction Documents which had been agreed in principle by, amongst others, the Participating Noteholders and to the execution of a Lock-Up Agreement which was intended to facilitate the negotiation and execution of long-form documentation required to implement the Transaction.

On 26 January 2024, with the approval of holders of over 75% of the Senior Notes and 100% of the Mezzanine Notes (given by way of extraordinary resolutions of the relevant Noteholders), the documentation required to implement the Transaction was executed by all parties and became effective. The following Transaction Documents have therefore been amended and restated with effect from that date:

• the Trust Deed;
• the Cash Management Agreement;
• the Incorporated Terms Memorandum;
• the Agency Agreement; and
• the Receivables Sale Agreement.

In addition, the Issuer has entered into:

• a new Servicing Agreement pursuant to which Toro Finance, S.L.U has been appointed as Servicer in place of Gedesco Services Spain, SAU; and
• a Back-Up Servicing Agreement pursuant to which Hipoges Iberia S.L. has been appointed as Back-Up Servicer.
