conwert Immobilien Invest SE: Change in share of voting rights

Vienna, 27 November 2013 (pta034/27.11.2013/18:30 UTC+1) As per sec. 93 para. 2 of the Austrian Stock Exchange Act, conwert Immobilien Invest SE discloses that Barclays Plc (also Barclays Bank Plc and Barclays Capital Securities Ltd as per sec. 5 para. 3 Transparency Ordinance, jointly "Barclays") announced the partial disposal of its voting rights in conwert Immobilien Invest SE on 26 November 2013 in accordance with sec. 91, 91a of the Austrian Stock Exchange Act:

As per sec. 91, 91a of the Austrian Stock Exchange Act, the share of voting rights of Barclays fell below the 5% threshold on 22 November 2013 and subsequently amounted to 4.74% based on a total of 85,359,273 conwert shares (prior to disposal 5.12%).

This shareholding (4,042,031 shares) breaks down as follows (sec. 92a para. 1 (7) of the Austrian Stock Exchange Act):

+ 3.49% of voting rights are allotted to 2,976,914 conwert shares

+ As per sec. 92a para. 1 (5,6) of the Austrian Stock Exchange Act, 1.25% of voting rights are allotted to the following financial instruments related to 1,065,117 conwert shares in accordance with sec. 91a of the Austrian Stock Exchange Act:

- Single-stock futures with cash settlement and delivery date of 20/12/2013 with regard to 280,000 conwert shares (around 0.33% of voting rights);

- Equity portfolio swap, due date 06/03/2014, with regard to 92,596 conwert shares (around 0.11% of voting rights);

- Convertible bonds with conversion period 14/03/2010 to 25/01/2016 with regard to 692,521 conwert shares (around 0.81% of voting rights).

The voting rights are indirectly held by Barclays Plc, based in London, via the controlled companies of Barclays Bank Plc and Barclays Capital Securities Ltd (as direct owner of the shares and/or financial instruments).
