Die SN Beteiligungen Holding AG, Zug, hat als Käuferin mit Herrn Norbert Ketterer als Verkäufer am 23.12.2019 eine Vereinbarung über den Erwerb von 50% am Kommanditkapital der ETAMIN GmbH & Co KG aufschiebend bedingt mit der Eintragung ins Firmenbuch abgeschlossen. Die SN Beteiligungen AG ist eine 100%ige Tochtergesellschaft von Norbert Ketterer. Die ETAMIN GmbH & Co KG ist die einzige Kommanditistin der HAMAMELIS GmbH & Co KG, die beide Aktien an der Emittentin S Immo AG halten.
Mit dem Vollzug des Kaufvertrags wird die SN Beteiligungen Holding AG daher in die Kette der kontrollierenden Unternehmen eintreten. Das gemeldete Finanzinstrument bezieht sich daher auf die Norbert Ketterer bereits kontrollierte Beteiligung in Höhe von 10,13%, an der sich durch den Erwerb nichts ändert. Wir haben davon abgesehen, die Bestandsmeldung in diese Meldung einzubeziehen, da ansonsten die Aktien und Finanzinstrumente zusammengerechnet würden. Dies könnte zu einer Verwirrung führen.
